Agricarbon Portal Terms and Conditions of Use

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Agricarbon reporting portal (the “Portal”), operated by Agricarbon Ltd, a company registered in Scotland (“Agricarbon”, “we“, “us”, or “our”).

By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Portal.

Your use of the Portal may also be subject to a separate service agreement between Agricarbon and your organisation. In the event of any conflict between these Terms and such service agreement, the service agreement shall prevail.

 

2. Definitions

“Customer” means the organisation that has contracted with Agricarbon for soil carbon measurement and reporting services.

“User” means any individual who has been granted access to the Portal, including Customer Admin users and standard users.

“Customer Admin” means a User with administrative privileges who can invite and manage other Users.

“Reports” means the soil carbon measurement reports, data, and other outputs made available through the Portal.

 

3. User Accounts and Access

3.1 Access to the Portal is by invitation only. You will receive an invitation from either Agricarbon or a Customer Admin associated with your organisation.

3.2 To complete your account setup, you must provide your name, email address, and mobile phone number. You are responsible for ensuring that this information is accurate and kept up to date.

3.3 By providing your phone number and opting into our text messaging program, you consent to receive a one-time transactional security code on your mobile device. Standard message and data rates may apply. For assistance, reply HELP to the number from which you received the message, or contact us at [email protected]. To stop receiving messages, reply stop at any time. Carriers are not liable for delayed or undelivered messages.

3.4 Your account is personal to you and must not be shared with others. You are responsible for maintaining the confidentiality of your login credentials.

3.5 Customer Admins may invite additional Users to access specific projects or farms. Customer Admins are responsible for ensuring that they only invite authorised individuals.

 

4. Permitted Use

4.1 Subject to these Terms, you may use the Portal to:

  • (a) view soil carbon measurement reports and data relating to projects or farms you have been granted access to
  • (b) download PDF versions of reports
  • (c) where enabled for your project, download CSV files containing detailed data
  • (d) if you are a Customer Admin, invite and manage Users

4.2 You may only use the Portal for legitimate business purposes related to the soil carbon measurement services provided by Agricarbon.

 

5. Prohibited Activities

5.1 You must not:

  • (a) share your login credentials with any other person
  • (b) attempt to gain unauthorised access to any part of the Portal, other Users’ accounts, or any systems connected to the Portal
  • (c) use automated scripts, bots, or other tools to access or scrape data from the Portal
  • (d) copy, reproduce, redistribute, sell, or commercially exploit any Reports or data obtained from the Portal, except for your own legitimate internal business purposes or as expressly permitted under your service agreement with Agricarbon
  • (e) interfere with or disrupt the integrity or performance of the Portal
  • (f) upload or transmit any viruses, malware, or other harmful code
  • (g) use the Portal for any unlawful purpose or in violation of any applicable laws or regulations
  • (h) attempt to reverse engineer, decompile, or disassemble any part of the Portal
  • (i) remove, obscure, or alter any proprietary notices displayed on or through the Portal

 

6. User Obligations

6.1 You must:

  • (a) keep your login credentials secure and confidential
  • (b) notify us immediately at [email protected] if you become aware of any unauthorised use of your account or any other security breach
  • (c) keep your contact details up to date
  • (d) comply with all applicable laws and regulations in your use of the Portal

6.2 You are responsible for all activities that occur under your account.

 

7. Intellectual Property

7.1 The Portal, including its design, features, and functionality, is owned by Agricarbon and is protected by intellectual property laws. Nothing in these Terms grants you any rights in the Portal other than the limited right to use it in accordance with these Terms.

7.2 Ownership of soil carbon data and Reports, and the rights of Agricarbon to use such data, are governed by the service agreement between Agricarbon and the relevant Customer.

 

8. Disclaimer

8.1 While Agricarbon Ltd seeks to ensure that the information contained within the Portal and Reports is accurate at the time of creation, no warranty is given in respect thereof and, to the maximum extent permitted by law, Agricarbon Ltd accepts no liability for loss, damage or injury howsoever caused (including that caused by negligence) or suffered directly or indirectly in relation to information and opinions contained in or omitted from the Portal or Reports.

8.2 The Portal and Reports are provided for informational purposes. You should not rely solely on the information provided through the Portal when making business, regulatory, or other decisions. We recommend that you seek independent professional advice where appropriate.

8.3 We do not guarantee that the Portal will be available at all times or that access will be uninterrupted or error-free.

 

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law:

  • (a) Agricarbon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill
  • (b) Agricarbon’s total liability arising out of or in connection with your use of the Portal shall not exceed the fees paid by the relevant Customer to Agricarbon in the twelve months preceding the claim, or £1,000, whichever is greater

9.2 Nothing in these Terms excludes or limits our liability for:

  • (a) death or personal injury caused by our negligence
  • (b) fraud or fraudulent misrepresentation
  • (c) any other liability that cannot be excluded or limited by applicable law

 

10. Suspension and Termination

10.1 We may suspend or terminate your access to the Portal immediately if:

  • (a) you breach any provision of these Terms
  • (b) we are required to do so by law
  • (c) the Customer’s service agreement with Agricarbon is terminated or expires
  • (d) the Customer requests that your access be revoked
  • (e) we reasonably believe your account has been compromised
  • (f) we discontinue the Portal or any part of it

10.2 Upon termination, your right to access the Portal will cease immediately.

 

11. Changes to These Terms

11.1 We may update these Terms from time to time. We will notify you of any material changes by email or through the Portal. Your continued use of the Portal after such notification constitutes acceptance of the updated Terms.

 

12. Governing Law and Jurisdiction

12.1 These Terms are governed by and construed in accordance with the laws of Scotland.

12.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
